These Terms govern your use of DeloChat, a service operated by DELO AUTOMATION SOLUTIONS (Registration No: 202603131517 (KT0614363-H)), registered in Malaysia.
A. Who these terms cover
These Terms of Service govern your access to and use of DeloChat (the "Service"). By creating an account, connecting a WhatsApp number, or sending messages through the Service, you agree to these Terms. If you are acting on behalf of a company, you confirm you have authority to bind that entity.
B. What DeloChat is (and is not)
DeloChat is a software tool that connects to your existing WhatsApp account as a linked device, helps you import contact lists, pace outbound messages ("Safe Sending"), and report delivery and number-health signals. DeloChat is not the Official WhatsApp Business API. Support for the Official Meta WhatsApp Cloud API is on our roadmap and is not part of the Service today.
C. Eligibility and account responsibility
You must be at least 18 (or the age of majority in your jurisdiction), have the legal right to operate the workspace you connect, and keep your credentials confidential. You are responsible for activity under your account.
D. Your WhatsApp number and the linked-device model
DeloChat connects to WhatsApp through the multi-device linked-device protocol. Your WhatsApp account remains yours; you can unlink DeloChat at any time from WhatsApp → Linked Devices. DeloChat is subject to WhatsApp's own policies and enforcement; WhatsApp may restrict, throttle, or ban a number regardless of any safeguards we apply. We recommend connecting a dedicated WhatsApp Business number rather than a personal account.
E. Acceptable use
You agree to use DeloChat only for messages that comply with WhatsApp's Terms of Service and Business Policy, with local laws on commercial messaging, consumer protection, and data privacy, and with DeloChat's Acceptable Use Policy. Businesses should respect customer requests to stop receiving messages. Automatic STOP keyword handling is not implemented in this version of DeloChat.
F. Consent and the contacts you message
For every recipient you contact through DeloChat, you confirm they have agreed to receive WhatsApp messages from your business, or that you otherwise have a lawful basis to message them. DeloChat does not collect consent on your behalf; maintaining proof of consent is the customer's responsibility.
G. Billing, plans, and quotas
DeloChat is offered through plans (including a Free plan). Each paid plan has a monthly message quota and a billing cycle. Quota counts include both Dashboard sends and Developer API sends. Refund and renewal terms are described in the Billing area and in any payment-request approval communications.
H. Safe Sending — disclaimer
Safe Sending is a pacing and ordering feature designed to reduce the risk of WhatsApp restricting your number. It does not guarantee delivery, account status, message visibility, or immunity from WhatsApp platform restrictions. Outcomes depend on WhatsApp's own systems, recipient behaviour, number reputation, and factors outside DeloChat's control.
I. Beta status
The Service is offered Beta. Features, copy, pricing, and behaviour may change. We will try to give reasonable notice for breaking changes.
J. Customer content and data
You retain ownership of the contact lists, messages, and other content you provide. You grant us a limited license to process that content solely to operate the Service for you. See the Privacy Policy for more.
K. Disclaimers and limitation of liability
To the maximum extent permitted by law, the Service is provided "as is", without warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability. We do not warrant that messages will be delivered, that your WhatsApp number will not be restricted, or that any business outcome will be achieved. Our total liability arising out of or relating to the Service is limited to the fees you actually paid us in the 12 months immediately preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages.
L. Indemnification
You agree to defend, indemnify, and hold harmless DeloChat from any third-party claim arising out of your use of the Service, your Customer Content, your messaging activity, or your breach of these Terms.
M. Suspension and termination
We may suspend or terminate access if we reasonably believe a workspace is violating these Terms, the Acceptable Use Policy, or WhatsApp's policies, or if it puts other DeloChat customers or the broader WhatsApp platform at risk. You may stop using the Service at any time and disconnect DeloChat from WhatsApp at any time.
N. Changes, governing law, and contact
We may update these Terms from time to time. Material changes will be announced in-app, by email, or on the public site. Governing law and dispute resolution will be specified in your plan agreement; absent that, the laws of Malaysia apply. Contact: [email protected].
